Third Party Access Terms

THESE TERMS APPLY IF YOU WISH TO SWITCH YOUR ELECTRICITY SUPPLY AWAY FROM SNRG TO A THIRD PARTY. PLEASE READ THESE TERMS CAREFULLY SO THAT YOU UNDERSTAND YOUR RIGHTS, OUR OBLIGATIONS AND THE PROCESS FOR SWITCHING.

1.

Third party access requests

1.1

If you wish to take a supply of electricity from a third-party supplier through the SNRG SmartGrid you must notify us in writing (an “Expression of Interest”).

1.2

Within 10 working days beginning with the day on which we receive the Expression of Interest we will serve on you a notice informing you that we will take the steps set out herein to give your chosen third-party supplier access to the SNRG SmartGrid (an “Acceptance Notice”) except in circumstances where we have to issue an Objection Notice as set out in paragraph 1.3 below.

1.3

Where, it is determined that we would need to increase the capacity of the SNRG SmartGrid to facilitate supply from your chosen third-party supplier and it is not technically feasible to provide such increase in capacity or where providing such increase in capacity would result ina significant and adverse economic impact on us or any other person, we will serve notice (an “Objection Notice”) on you within 10 working days of receipt of the Expression of Interest.

2.

Facilitating third party access

2.1

Where we have served on you an Acceptance Notice under clause 1.2, we will:

(a)

serve on any third-party supplier identified in the Expression of Interest a notice specifying:

i.

any metering arrangements that we consider would be required to enable access to be given; and

ii.

whether we can give access through contractual arrangements which would not require a connection to be made or modified, within 20 working days beginning with the day on which we receive the Expression of Interest; and

(b)

provide your chosen supplier with any other documents or information that it may reasonably request:

i.

within 20 working days beginning with the day of our receipt of the Expression of Interest; or

ii.

if the request is made at a time when there are fewer than 10 working days remaining in the 20-working day period mentioned in paragraph (i) above, within 10 working days beginning with the day of our receipt of the request.

2.2

If we have not, by the end of the 10 working day period mentioned in clause 1.2, served on you an Objection Notice under clause 1.3, we will give your chosen supplier such access to the SNRG SmartGrid as is necessary to enable your chosen supplier to give a supply of electricity to you either:

(a)

as soon as is reasonably practicable after we receive a notice from you confirming that you have entered into a contract with a third-party supplier identified in the Expression of Interest for the supply of electricity to your Property (a “Supply Contract Notice”); or

(b)

on a date agreed by us, you and your chosen supplier in writing

2.3

If we have served on you an Objection Notice under clause 1.3 (whether before or after the service of a Supply Contract Notice under clause 2.2(a)), subject to clause 2.4, we will give your chosen supplier such access to the SNRG SmartGrid as is necessary to enable your chosen supplier to give a supply of electricity to your Property, and will give that access:

(a)

as soon as is reasonably practicable after the end of the period of 28 working days beginning with the day on which you serve the Supply Contract Notice; or

(b)

on a date agreed by us, you and your chosen supplier in writing.

2.4

If, before the end of the 28 working day period mentioned in clause 2.3(a), we:

(a)

provide your chosen supplier with evidence to show

i.

that we would need to increase the capacity of the SNRG SmartGrid in order to give your chosen supplier access to the SNRG SmartGrid; and

ii.

that one of the conditions in clause 1.3 is met; and

(b)

we send a copy of the evidence to you, we and your chosen supplier shall enter into a contract for the provision of such access as is necessary for your chosen supplier to supply electricity to you through the SNRG SmartGrid:

(c)

14 days immediately following the 28 working day period mentioned in clause 2.3(a); or

(d)

any longer period that we, you and your chosen supplier may mutually agree in writing.

3.

Changing these Third Party Access Terms

3.1

You acknowledge and agree that we may unilaterally vary the terms of these Third Party Access Terms where changes are required to:

(a)

ensure compliance with applicable laws;

(b)

alignment with industry standards; and/or

(c)

protect the electricity infrastructure.

4.

Ending these Third Party Access Terms

4.1

These Third Party Access Terms will end if the network is adopted by a licensed distribution network operator.

4.2

Where these Third Party Access Terms have ended, supply to your Property will remain unaffected and your rights to switch supplier will continue to apply.
